These are the terms for buying services from Get Based Ltd ("BASED", "we", "us"), VAT number FI34499591, Finland. "You" means the customer buying from us. They are written to be read, not skimmed.
1. General
1.1 What these terms cover
These terms apply to every service we sell: the Business Development Day (section 3), the Power BI Package and its Ongoing Support (section 4) and any other consultancy or project work (section 5). Sections 1, 2 and 6 to 8 apply to all of them.
1.2 Other agreements come first
If we have agreed something else in writing, in a signed contract, a proposal you have accepted or an email exchange, that agreement applies before these terms on the points it covers. On every other point, these terms apply.
1.3 Business customers
Our services are built for companies and organisations, and these terms treat every customer as a business customer. Private individuals are welcome too; for them, these terms apply as far as the law allows. You accept these terms, for yourself or for the company or organisation you represent, when you book a date, accept a proposal, place an order or pay an invoice, whichever comes first.
1.4 Who does the work
We may use subcontractors. We remain responsible for their work as for our own.
2. Prices and payment
2.1 Prices
Prices are in euros and exclude VAT, which is added at the rate in force. The price of each service is the one stated on its page on this website, or in the proposal, at the time you book or order. Travel and expenses are charged on top of the price, unless the service page or the proposal says they are included.
2.2 Invoicing in advance
Every service is invoiced in full in advance, unless we have agreed otherwise in writing. The Business Development Day is invoiced when the date is booked. The Power BI Package is invoiced when you order it. Ongoing Support is invoiced monthly in advance. Other work is invoiced when you accept the proposal.
2.3 Payment terms
Invoices are due 7 days from the invoice date. Objections to an invoice are made within 14 days of the invoice date. A late payment accrues interest under the Finnish Interest Act from the due date, and we may charge the statutory collection costs. Until an overdue invoice is paid, we may pause work and hold back deliverables.
2.4 Work outside the scope
Work beyond what the service page or the proposal describes is quoted separately and starts only once you have accepted the quote.
3. The Business Development Day
3.1 What is included
The Business Development Day includes what its page on this website lists at the time of delivery.
3.2 Payment before the day
The price is invoiced when the date is booked and must be paid in full before the day. If it has not been paid, we may move the day to a later date.
3.3 Your part
You provide the people, access and information we ask for, both in the preparation before the day and on the day. The day runs on what you bring to the room.
3.4 Moving or cancelling the date
Either of us may move the date at no cost by giving notice at least 14 days before it. If you cancel the day, move it with less than 14 days' notice, or do not attend, the price is not refunded and the guarantee in section 3.5 does not apply. If we cancel the day, we refund the price in full unless we agree a new date with you.
3.5 The guarantee
If at the end of the day you do not believe it was worth the price, tell us on the day, before it ends, and we refund the price in full within 14 days. You still receive the written deliverables: the documents and materials produced from the day. The services that follow the day, such as the follow-up access and the follow-up session, are not provided.
4. The Power BI Package
4.1 What is included
The Power BI Package includes what its page on this website lists at the time of delivery, built on one ERP database. Additional data sources are quoted separately (section 2.4).
4.2 Fixed price
The price is fixed. If our part of the work takes longer than one week, that does not change the price.
4.3 Your part and the timeline
You arrange the access to your ERP database that we ask for and the people for the kick-off and the presentation, and you respond to our requests within five business days. Our week of work starts when the connection to your data is live. Delays on your side move the timeline but do not change the price. If, because of delays on your side, the work has not been completed within six weeks of the order, we deliver what the access and information we have by then allow, the package counts as delivered, and the support period in section 4.4 starts. Finishing the rest is quoted as separate work (section 2.4).
4.4 Support period
The 30 days of support and the follow-up session start on the day the scheduled reports are set up (go-live).
4.5 Licences
Power BI licences are bought from Microsoft at Microsoft's list price, either by you or, under Ongoing Support, by us on your behalf, and are subject to Microsoft's terms.
4.6 Ongoing Support
Ongoing Support is an optional monthly add-on to the Power BI Package. It includes what the Power BI Package page on this website lists during the month in question, and work beyond that is quoted separately (section 2.4). Licences we buy on your behalf are charged on top at Microsoft's list price (section 4.5).
It starts on the date we agree and continues month to month, invoiced monthly in advance.
Either of us may end it at any time by notice in writing, with effect from the end of the month that has been paid for. Nothing is refunded for that month.
5. Consultancy and project work
5.1 The proposal
Other consultancy and project work is defined in a proposal: what is delivered, the price and the schedule. The work starts once you have accepted the proposal and the invoice is paid (section 2.2).
5.2 Ending a project
Either of us may end a project by notice in writing. You receive what has been done up to that date. Payments already made are not refunded, and work done but not yet invoiced is invoiced in proportion to the share of the work completed.
6. Confidentiality and ownership
6.1 Confidentiality
Everything either of us learns about the other's business during the work is confidential, during the work and after it. This covers your business information and our methods, templates and prices. Confidential information may be disclosed only when the law requires it or when the other party has agreed in writing. We sign a mutual NDA, on our template, at kick-off if you ask for one.
6.2 References
We name you as a client only with your written permission.
6.3 Deliverables
Once the price is paid in full, the deliverables are yours to use within your own organisation, for your own business.
6.4 Our methods and tools
Our methods, templates, tools and know-how stay ours, and we keep using them for other clients. Where they are built into your deliverables, you may use them as part of those deliverables within your own organisation. You may not share them outside your organisation, or pass them on to anyone else, without our written permission.
6.5 Third-party software and this website
Third-party software, such as Microsoft Power BI, is licensed under its own terms. The content of this website belongs to us; you may quote it with credit and a link to the source.
7. Your data, our advice and liability
7.1 Your data and systems
We read your data. We do not write to it or change how your systems work. You confirm that you are allowed to give us the access you give us, and you keep your own backups. We are not responsible for errors in your source data or in the systems that produce it.
7.2 Our advice
Our findings and recommendations are opinions based on the information we are given. The decisions, and what you do with them, are yours. We do not guarantee any business result.
7.3 Limitation of liability
Our total liability for a service is limited to the price you have paid us for that service. We are not liable for indirect or consequential loss, such as lost profit, lost revenue, lost data or business interruption. A claim about a service must be made in writing within 30 days of its delivery, or it lapses. These limits do not apply to damage caused intentionally or by gross negligence, and they apply only as far as the law allows.
8. Other terms
8.1 Events outside our control
Neither of us is liable for a delay caused by something outside its control, such as illness, an outage or a third party changing its product. The affected party tells the other without delay, and the timeline moves accordingly.
8.2 Changes to these terms
We may change these terms. The version published on this page at the time of delivery applies. A change made after you book or order does not raise your price or remove anything you were promised at that time. Our services evolve with customer feedback, and we aim to accommodate reasonable requests where we can.
8.3 Related policies
The Disclaimer covers the content on this website. The Privacy Policy covers how we handle personal data.
8.4 Governing law and disputes
These terms are governed by the law of Finland. A dispute we cannot settle by negotiation is decided by the District Court of Helsinki.
